OFFICER RESPONSIBILITY

President - The President of the Corporation shall be the chief executive officer of the Corporation and, subject to these Bylaws and under the supervision of the Board of Directors, shall have general charge of the affairs of the Corporation and control of its several officers.  The President shall have such other duties and responsibilities and may exercise such other powers as are usually incident to the office or as from time to time may be assigned to him or her by these Bylaws or the Board of Directors.  The President may call and shall preside at all meetings of the members and Board of Directors.

      • Organize and conduct board meetings and member meetings.  Work with Executive Director and Treasurer to stabilize or improve financial position.  Assist other board members and Executive Director in organizing and conducting annual Spring and Fall Conferences, which includes planning dates, locations, speakers, sponsors, entertainment, socials, and other details.  Attend Spring and Fall State Conferences.  Time requirement is high – 10-15 days out of the office for conferences plus time spent organizing committees and meetings. 

    Vice President At the request of the President or in his/her absence or disability, the Vice President shall perform all of the duties of the President.  When so acting, the Vice President shall have all of the powers of, and be subject to all of the restrictions upon, the President.  The Vice President shall have such other duties and responsibilities and may exercise such other powers as may from time be assigned to him or her by these Bylaws, the Board of Directors, or the President.

        • Attend board meetings and vote on important issues that may arise during term.  Assume Legislative Liaison duties by monitoring activities through the Nebraska Medical Association (NMA) contacts.  Report on Legislative activities at the Spring and Fall Conferences if NMA are not present.  Assist other board members and Executive Director in organizing and conducting annual Spring and Fall Conferences, which includes planning dates, locations, speakers, sponsors, entertainment, socials, and other details.  Attend Spring and Fall State Conferences.  Time requirement is medium to high – 5-10 days out of the office for conferences plus time spent organizing committees and meetings. 

    Treasurer - It shall be the duty of the Treasurer to keep an accurate record of accounts of all meetings of the members and directors; and to perform such additional duties as may be assigned by the Board of Directors or the President.  The Treasurer shall have such other duties and responsibilities as are incident to the office of Treasurer or as are assigned by the President, the Board of Directors, or these Bylaws.

        • Attend board meetings and vote on important issues that may arise during term.  Review financial reports and sign checks as necessary for payment of expenses. Report on the financial position of the association at the Spring and Fall Conferences utilizing accounting reports provided by the Executive Director and the accounting software.  Assist other board members and Executive Director in organizing and conducting annual Spring and Fall Conferences, which includes planning dates, locations, speakers, sponsors, entertainment, socials, and other details.  Attend Spring and Fall State Conferences.  Time requirement is medium to high – 5-10 days out of the office for conferences plus time spent organizing committees and meetings. 

    Secretary - It shall be the duty of the Secretary to keep an accurate record of proceedings of all meetings of the members and directors; to give all notices required by the Bylaws; and to perform such additional duties as may be assigned by the Board of Directors or the President.  The Secretary shall have such other duties and responsibilities as are incident to the office of Secretary or as are assigned by the President, Board of Directors, or these Bylaws.

        • Attend board meetings and vote on important issues that may arise during term.  Record the minutes of all board meetings and membership meetings.  Present previous minutes of the past board and member meetings at the Spring and Fall Conferences.  Assist other board members and Executive Director in organizing and conducting annual Spring and Fall Conferences, which includes planning dates, locations, speakers, sponsors, entertainment, socials, and other details.  Attend Spring and Fall State Conferences.  Time requirement is medium to high – 5-10 days out of the office for conferences plus time spent organizing committees and meetings. 

    Immediate Past President - The Immediate Past President shall serve as Chair of the Nominating Committee to perform such duties and have such powers as may be assigned or delegated to him or her by the Board of Directors.  These duties may be assigned to the agents or representatives of HLA NE.  The Immediate Past President serves in advisory capacity to the Board and President of HLE NE.

        • Attend board meetings and vote on important issues that may arise during term.  Assist other board members and Executive Director in organizing and conducting annual Spring and Fall Conferences, which includes planning dates, locations, speakers, sponsors, entertainment, socials, and other details.  Attend Spring and Fall State Conferences.  Time requirement is medium to high – 5-10 days out of the office for conferences plus time spent organizing committees and meetings.  

    Executive Director - The Executive Director is a paid independent contractor position that works on behalf of HLA NE as a 1099 employee for a negotiated salary effective 02-23-1996.  He/she is accountable for overall operational, membership and outreach, and financial responsibilities of the organization.

        • The activities and duties are determined and directed by the Board of Directors through a signed contract.  This is evaluated annually to meet the needs of HLA NE functions.  The Executive Director shall have custody of the corporation’s funds, shall keep full and accurate accounts of all receipts and liabilities, deposits, or other securities.  Unless otherwise determined by resolution of the Board of Directors, the Executive Director shall also serve as the custodian of all of the Corporation’s records as required by the Nebraska Nonprofit Corporation Act.  The Executive Director cannot vote, hold an office, be chair of a committee, or serve on committees.
